Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Confirmo (“the Service”), an automated appointment booking assistant. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Confirmo is an automated scheduling assistant that:

• Connects to your WhatsApp Business number to handle appointment booking conversations
• Integrates with Google Calendar and Microsoft Calendar to read your availability and create events
• Sends automated appointment reminders to your clients
• Manages a cancellation waitlist and notifies clients of available slots
• Allows you to block calendar time via WhatsApp messages

The Service is intended for use by business owners and service providers to automate client scheduling. It is not a consumer product.

3. Account Registration

To use Confirmo, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account

Account creation is by invitation only. We reserve the right to refuse or revoke access at our discretion.

4. Connected Services and Authorizations

4.1 Google Calendar

When you connect your Google account, you authorize Confirmo to access and manage your Google Calendar on your behalf. This access is used exclusively to check availability, create appointment events, and block time as you request. You may revoke this access at any time through your Google account settings at myaccount.google.com/permissions.

4.2 Microsoft Calendar

When you connect your Microsoft account, you authorize Confirmo to access and manage your Microsoft Calendar under the same conditions described above for Google Calendar.

4.3 WhatsApp Business

You are responsible for ensuring that your use of the WhatsApp Business API complies with Meta’s WhatsApp Business Terms of Service and applicable messaging regulations. You must obtain any necessary consents from clients before messaging them through the Service.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or harass clients
• Violate any applicable law or regulation, including data protection laws
• Infringe the intellectual property rights of others
• Attempt to reverse-engineer, decompile, or compromise the Service
• Use the Service for any purpose other than legitimate business appointment scheduling
• Share your account access with unauthorized third parties

6. Client Data and Compliance

As a business operator using Confirmo, you are the data controller for your clients’ personal information processed through the Service. You are responsible for:

• Ensuring you have a lawful basis for collecting and processing your clients' data
• Providing appropriate privacy notices to your clients
• Handling any client data access, correction, or deletion requests
• Complying with applicable data protection regulations (e.g., GDPR, CCPA) in your jurisdiction

Confirmo acts as a data processor on your behalf for client data. See our Privacy Policy for details on how we handle this data.

7. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (which we will announce in advance when possible)
• Unexpected technical issues or outages
• Issues with third-party services (WhatsApp, Google, Microsoft)
• Events beyond our reasonable control

We will make reasonable efforts to restore availability promptly in the event of an outage.

8. Fees and Payment

Confirmo may offer paid subscription plans. If applicable:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as explicitly stated in our refund policy
• We reserve the right to change pricing with 30 days advance notice
• Failure to pay may result in suspension or termination of your account

Free tier or trial access may be provided at our discretion and may be modified or discontinued at any time.

9. Intellectual Property

Confirmo and its underlying software, design, and content are owned by us and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights.

You retain ownership of your business data (services, availability rules, appointment history) and your clients’ data. You grant us a limited license to process this data solely to provide the Service.

10. Limitation of Liability

To the fullest extent permitted by law, Confirmo shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of revenue, profits, or business opportunities
• Missed appointments or scheduling errors resulting from service downtime or third-party failures
• Unauthorized access to your account due to your failure to maintain credential security

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, uninterrupted, or free from harmful components.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service.

Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy. Calendar connections will be revoked and no further messages will be sent on your behalf.

13. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
